Terms of Service
The agreement between you and Seam Engine. It is written to be read, so it is plain where it can be and precise where it has to be.
In effect from
1. Who this is between
These Terms are between you and Seam Engine (“Seam Engine”, “we”, “us”), and they govern your use of seamengine.com and the service behind it (the “Service”). By creating an account or using the Service you accept them. If you are using the Service for an organisation, you are confirming that you may bind it.
2. Accounts and access
You must be at least 16 years old. While the Service is in rehearsal, access is by invitation, and an invitation is personal to you. You are responsible for what happens under your account and for keeping your credentials to yourself. Tell us promptly at hello@seamengine.com if you think someone else is using it.
3. What the Service does
You give the Service two recordings. It measures them, decides where to leave the first, where to arrive in the second, and how long the passage between them should be, and then it composes new instrumental music to fill that passage. We call the result a bridge.
A bridge is composed, not assembled. We do not cut, sample, loop or copy audio out of your recordings and into a bridge.
4. The recordings you supply
You keep ownership of everything you upload (“Your Recordings”). You give us only the permission we need to run the Service for you: to store Your Recordings, analyse them, and use them to condition the composition of a bridge for you. That permission ends when you delete the material or close your account.
We do not train models on Your Recordings. Our models are trained on licensed and public-domain material. Your uploads are used to serve you and for nothing else. We will not sell them, publish them, or hand them to anyone else except where the law requires it.
You promise that you own Your Recordings or otherwise have the rights you need to upload them and to have us process them. Do not upload recordings you do not have the rights to. That includes commercial recordings you merely own a copy of — owning a file, a record or a stream does not give you the right to upload it to a service for processing.
5. The bridge that comes out
As between you and us, you own the bridges made for you, and you may use them however you like, including commercially. We claim no rights in them and no royalty.
A bridge is written to leave in the character of your first recording and arrive in the character of your second, so it is designed to resemble both in tempo, key, feel and instrumentation. That resemblance is the product working, not a defect. It also means a bridge sits close to two existing works by design, and we do not assess, and cannot warrant, whether any particular bridge is or is not substantially similar to any existing work.
What you do with a bridge is your responsibility. Clearing it for whatever use you put it to — releasing it, performing it, syncing it, distributing a set that contains it — is yours to do, including obtaining any permission needed for the recordings on either side of it. We are not the publisher, the label or the clearing house for your work.
6. Things you may not do
- Upload material you do not have the rights to, or use the Service to infringe anyone.
- Upload anything unlawful, or anything that carries someone’s personal data without their agreement.
- Present a bridge as the work of an artist who did not make it, or otherwise use the Service to pass work off as someone else’s.
- Resell, sublicense or white-label the Service without our written agreement.
- Reverse engineer the Service, scrape it, or use it to build a competing model, including by using its outputs as training data.
- Circumvent any limit, quota or access control, or use the Service to attack it or anyone else.
7. Copyright complaints and repeat infringers
We respond to copyright notices and we terminate the accounts of repeat infringers. The process, and where to send a notice, is set out in our Copyright & Takedown Policy, which forms part of these Terms.
8. Suspension and ending it
You may stop and delete your account at any time. We may suspend or end your access if you break these Terms, if we are required to, or if continuing would expose us or another user to real risk. Where it is reasonable to warn you first, we will. Sections 5, 9, 10, 11 and 13 survive the end of this agreement.
9. No warranty
The Service is provided as is and as available. We do not warrant that it will be uninterrupted, error-free, or that any particular bridge will be musically successful, fit for your purpose, or free of similarity to existing works. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Some jurisdictions do not allow these exclusions, in which case they apply to you only as far as the law permits.
10. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, goodwill or data. Our total liability arising out of or relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
11. Indemnity
You will defend and indemnify us against claims, damages and reasonable costs arising from material you uploaded without the rights to do so, from your use of a bridge, or from your breach of these Terms.
12. Changes
We may change these Terms. If a change is material we will give notice — by email, or in the product — before it takes effect, and the date at the top of this page will change. Continuing to use the Service after that means you accept the new version.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory law where you live.
